We have no control over third-party content, and we are not responsible for their websites, products, or services. You use Third-Party Content at your own risk, and you should conduct all necessary inquiry before engaging in any transaction involving such Third-Party Content.

Sponsored Third-Party Content or advertising may also be found on the Services. You understand and agree that we may post advertisements in connection with the display of any Content or information on the Services, including Your Content, and that the type, degree, and targeting of advertisements are subject to change.

If you use the Services to run a promotion, such as a contest or promotions, you are solely responsible for conducting the Promotion in accordance with all applicable laws and regulations, including but not limited to developing official rules, offer terms, and eligibility requirements, as well as complying with all applicable laws, rules, and regulations that govern the Promotion (such as licenses, registrations, bonds, and regulatory approval). Your Promotion's rules must specify that the Promotion is not sponsored, promoted, or linked with HappyFood, and each entrant or participant must agree to release HappyFood from any liability arising from the Promotion. You understand and accept that we will not assist you with your promotion in any manner, and that you will do it at your own risk.

HappyFood values other people's intellectual property and expects our users to do the same. We have a policy that includes removing any infringing material from the Services and terminating users of our Services who are repeat infringers in appropriate situations. If you believe that something on our Services infringes on a copyright or a trademark that you own or control, please let us know by sending us an email.

Also, if you intentionally claim that any conduct or material on our Service is infringing, you may be responsible to HappyFood for costs and damages.

You must follow these Terms as well as all applicable laws, rules, and regulations when using or accessing HappyFood.

- Use the Services in any way that could cause the Service to be disabled, disrupted, overburdened, or otherwise harmed;

- Use the Services to break the law or infringe on the intellectual property rights or other proprietary rights of another person or entity;

- Any viruses, worms, malicious code, or other software intended to interfere with the Services, including its security-related features, should not be uploaded, sent, or distributed to or through the Services.

- Use the Services in any way that we feel is an attempt to defraud HappyFood or any other payment system.

We invite you to report any content or behavior that you believe is in violation of these Terms or our Content Policy. We also believe that security vulnerabilities should be reported responsibly. Please let us know by sending us an email to report a security vulnerability.

There is no fees for the use our platform or services. However, some other services have, including the Delivery Fee, Adding your Food Shop, and Promoting your business.

HappyFood may change the fees and benefits regarding with the Paid Services anytime, by giving you an advance notice of material changes.

Your Payment Information is processed by third-party service providers. If you submit your Payment Information, you agree to pay all costs incurred, and you give us permission to charge you an amount that includes these costs, as well as any relevant taxes and fees, when payment is due. All sales are final, and we do not provide refunds or credits for partial billing periods.

HappyFood is the owner and operator of the Services. Intellectual property and other laws safeguard the visual interfaces, graphics, design, compilation, information, data, computer code, products, services, trademarks, and all other parts of HappyFood's Services (Materials). HappyFood or its third-party licensors own all of the Materials used in the Services. You realize and agree that no ownership rights in HappyFood will be transferred to you.

As a user of the Services, you may have statutory rights that are not affected by these Terms. Because certain nations, states, provinces, and other jurisdictions do not allow the exclusion of certain warranties or the limitation of liability set forth in this section, the provisions below may not apply to you in their entirety. Instead, the exclusions and limitations set forth below shall apply only to the extent permitted by such jurisdictions' legislation.

Any claims arising out of or relating to these Terms or the Services will be governed by the laws of the State of Philippines, without regard to its conflict of laws rules; all disputes relating to these Terms or the Services will be brought exclusively in the federal or state courts located in Manila, Philippines, and you and HappyFood agree to submit to the jurisdiction of those courts.

We reserve the right to make modifications to these Terms at any time. If we make any modifications, we will update the Effective Date and post the new Terms. If the changes are material, we may also notify you by sending an email to the address associated with your Account (if you have chosen to give an email address) or by other means through our Services. You agree to be bound by the amended Terms if you continue to access or use the Services after the Effective Date of the updated Terms. You must stop accessing and using our Services before the changes take effect if you do not agree to the updated Terms.
